    TERMS OF BUSINESS "FGUK" means FGUK Research Limited (Company No. 03958994), whose registered office is: INTERNATIONAL HOUSE, 39 GREAT WINDMILL STREET, LONDON, W1D 7LX Acceptance These terms of business set forth the terms under which FGUK offers to provide Goods and/or Service. When the customer accepts FGUK offer, either by acknowledgement, delivery of any Goods and/or commencement of performance of any Services, a binding contract shall be formed. Such Agreement is limited to these Terms of business as specified herewith. FGUK does not agree to any proposed amendment, alteration, or addition by Supplier. The Agreement can be varied only in writing signed by FGUK. Any other statement or writing of Supplier shall not alter, add to, or otherwise affect the Agreement. FGUK is not bound by and hereby expressly rejects Supplier’s general conditions of sale and any additional or different terms or provisions that may appear on any proposal, quotation, price list, acknowledgment, invoice, packing slip or the like used by Supplier. Course of performance, course of dealing, and usage of trade shall not be applied to modify these General Conditions of Purchase. QUOTATIONS  UK only quotations are valid for 2 months from date of submission. FGUK reserves the right to revise quotations after this date.  International quotations are valid for 7 days from date of submission and partner agency costs will be quoted at the prevailing rate. Due to the volatility in exchange rates, FGUK will revise the quotation at point of commission. Any further fluctuation in currency exchange rates between the date of commission and the date of receipt of settling payment will be borne by FGUK unless the settling payment is not made by its due date as quoted on the invoice.  Quotations are based on values in GBP, but may be shown for reference in US Dollars (USD) or Euros (€).  FGUK will endeavour to assess the feasibility of the project prior to quotation, however, in some cases, this may not be possible until fieldwork has commenced.  In the absence of an agreement to the contrary, initial research findings and proposals provided by FGUK, when FGUK receives neither the commission nor payment for the proposals, remain the property of FGUK. Their contents cannot be revealed to third parties without permission. INVOICES & CHARGES  Invoices are payable in GBP unless agreed otherwise in writing.  Due to the volatility in exchange rates, FGUK reserves the right to revise quotations and invoiced amounts to reflect any changes where the currency to be invoiced changes in value by 2% or more against the GBP between the date of quotation and the date of commission. Any further fluctuation in currency exchange rates between the date of commission and the date of receipt of settling payment will be borne by FGUK unless the settling payment is not made by its due date as quoted on the invoice.  FGUK will invoice 100% of the estimated total project cost at completion of the project, due 30 days from the date of invoice. Invoices are exclusive of VAT (20%) - chargeable only to domestic clients. New clients will be required to pay 50% of the project fee upfront. (unless agreed in writing otherwise)  All incidental expenses incurred by clients and additional incentives requested by clients will be charged at cost +20%. POSTPONEMENT, CANCELLATION & CHANGES In the event of a project being postponed or cancelled, after commissioning, cancellation fees will be charged at the following rates:  After project set up but before commencement of fieldwork (or first venue date) – 10% - 20% of full project fees depending on work involved (PLUS cancellation fees to recruiter/interviewers and respondents)  6 to 7 working days prior to fieldwork commencing (or first venue date): 20% of full project fees (PLUS cancellation fees to recruiter/interviewers and respondents)  5 working days prior to fieldwork commencing (or first venue date): 50% of full project fees  Less than 5 days or cancellation after fieldwork commences (or first venue date): 100% of project fees  Changes to the questionnaire once programming and/or translations have begun may be subject to further charges.  Late delivery of materials or any action/decision by the client which delays/cancels fieldwork may be subject to further charges.  All changes to field specifications must be made in writing. REASONABLE CONTROL FGUK shall not be held liable for delays or delivery failure that arise from an act or event beyond FGUK reasonable control (including, but without limitation, strikes, postal/communication delays, industrial action, fire/accident, governmental act, natural catastrophe or any other act or event beyond the control of FGUK). FGUK shall not be held liable for any failure in recruitment or the research project as well as defective working of audio or visual equipment at viewing facility or for any subsequent cost incurred. FGUK shall not be held liable should respondents not meet the specification set and has a right to refuse a refund. Should respondents not meet the specification or a dispute arises to this effect FGUK shall not refund the recruitment fee or incentives amount or any other associated cost whatsoever and the full costs and invoice amount is payable.  FGUK shall not be held liable for delays or delivery failure that arise from an act or event beyond FGUK reasonable control (including, but without limitation, strikes, postal/communication delays, industrial action, fire/accident, governmental act, natural catastrophe or any other act or event beyond the control of FGUK).  FGUK shall not be held liable for any failure or defective working of audio or visual equipment at viewing facility or for any subsequent cost incurred. INCIDENCE  Unless otherwise specified all costs are provided assuming 80% incidence. FGUK reserve the right to adjust costs to consider a more accurate incidence rate based on screen out information provided. MATERIALS  Where possible and unless otherwise agreed, all completed project material will be sent back electronically. Courier costs are not included and will be charged at cost.  Digital safety copies of completed materials will be kept for one month from final invoice date, unless otherwise agreed in writing. RESPONDENT RECRUITMENT FGUK operates the following policy, unless otherwise agreed in writing by the client: Respondent Attendance:  Recruit (only) where client, or clients’ agent conducts interviews (face to face or telephone) in office/home – costs assume that we will be given, in writing, interviewer availability and that interviewers will adhere to it. Any rearranging or cancellation of appointments will be charged in full.  If exclusions are not provided to FGUK, in writing, before a project commences, any recruitment (and interview) that should have been excluded will be charged in full.  List projects – costs and timings assume that the lists provided are up to date and accurate, have full titles, names, addresses and telephone numbers and have sufficient number of names to complete quota. Additional travel expenses MAY be incurred depending upon geographic areas covered by lists.  Where the client is responsible for programming and hosting an online survey, it is assumed that there will be an autostop in place to prevent the commissioned quota being exceeded. If this is not the case, all additional completes will be charged on a pro rata basis.  In line with data protection, any of the respondent identifying details that you are sent for this research (last name, phone number, postal address, email address etc) MUST be destroyed immediately after each session. TRANSLATIONS  All translation costs are based on an estimated word count at a unit cost per 1000 words. FGUK assumes that a typical questionnaire will contain 100 words per one minute of survey length. Costs will be revised and invoices adjusted accordingly to reflect total translation cost based on word count at the point of final invoice.  Translation of open ends are based on an estimated average of 8 words per open end. If the average number of words per open end exceeds 8 then costs will be increased at a rate of €0.45 per word for European languages (€0.90 per word for other languages). Costs will be revised to reflect total translation costs on the final invoice.  No word document is produced in the translation process and if required may be subject to further costs. Translations for target countries can be reviewed by the client online.  Open-end translations are provided in an excel sheet SCRIPTING & DATA PROCESSING  All costs are estimated and will be confirmed upon receipt of the final questionnaire, data requirement and analysis specification.  Unless otherwise specified, DP costs are based on no more than two data extractions, an interim and a final data file.  If specific data layouts and formats are required, a data map must be provided with the final questionnaire, before any programming has begun. If it is provided later, further work may be required in order to match requirements which will incur further costs and could delay delivery. CODE OF CONDUCT & DATA PROTECTION  FGUK is registered with the Office of the Information Commissioner and to comply with the Data Protection Act, our client must confirm that any contact details they provide have been notified and given consent that their names and information may be used for market research. We will notify our client of instances where the individual is no longer at the address (but not of any new address), not known, deceased or declined to be interviewed.  FGUK adhere to the Market Research Society, in particular the articles governing client and respondent confidentiality, data protection, adverse event reporting and the use of research findings. In accepting a quotation from FGUK a client is deemed to agree to be bound by this professional code.  This Agreement shall be governed and construed in accordance with English laws and each party agrees to submit to the non-exclusive jurisdiction of the courts of England as regards any claim or matter arising under this Agreement. You will take all reasonable steps to ensure that the data will only be used for the purpose for which it was collected and the respondents will not be contacted without our written consent. These terms of business supersede any previously agreed terms of business unless explicity agreed in writing otherwise.
